Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Modern Tech Solutions website and any related services, products, software, and content (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. Who we are

Modern Tech Solutions LLC ("Modern Tech Solutions", "we", "us", or "our") provides software development, digital solutions, and related services.

2. Eligibility and accounts

  • You must be able to form a binding contract to use the Services.
  • If you create an account, you are responsible for safeguarding your credentials and for all activities under your account.

3. Acceptable use

You agree not to misuse the Services. For example, you will not:

  • Access, tamper with, or use non-public areas of the Services.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Use the Services to violate any law, regulation, or third-party rights.
  • Attempt to reverse engineer or circumvent security measures.

4. Purchases, subscriptions, and proposals

  • If you purchase services or a subscription, the specific scope, deliverables, timeline, and fees may be described in an order form, proposal, statement of work, invoice, or similar document ("Order"). If there is a conflict, the Order controls for that purchase.
  • Fees are non-refundable except as described in our Refund / Cancellation Policy.

5. Intellectual property

  • The Services, including text, graphics, logos, and software, are owned by or licensed to us and are protected by applicable intellectual property laws.
  • Client deliverables and ownership may be defined in the applicable Order or agreement.

6. Third-party services

The Services may integrate with or link to third-party services (e.g., payment processors, analytics, hosting providers). We are not responsible for third-party services and your use is subject to their terms and policies.

7. Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MODERN TECH SOLUTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Modern Tech Solutions from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.

10. Termination

We may suspend or terminate your access to the Services at any time if we believe you violated these Terms or if required to do so to comply with law. You may stop using the Services at any time.

11. Changes

We may update these Terms from time to time. The effective date will be updated above. By continuing to use the Services after changes become effective, you agree to the revised Terms.
